These Terms of Service ("Terms") govern your access to and use of the website located at https://aiverge.net and all related products, applications, and services (collectively, the "Service") provided by Individual Entrepreneur SVIATOSLAV GONTARENKO ("Aiverge," "Company," "we," "our," or "us"). By accessing or using the Service you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree, you may not use the Service.

2 — Description of Service

Aiverge is a software-as-a-service (SaaS) platform that lets customers send prompts to and receive outputs from OpenAI's GPT models via the OpenAI API. We provide:

A web dashboard to manage and organise custom prompt templates.
API endpoints that proxy your requests to OpenAI's models.
Usage analytics, version control for prompts, and team collaboration tools.

We do not claim ownership of the content you submit to or receive from the Service. All model outputs are generated by OpenAI systems, and responsibility for their use lies solely with you.

3 — Eligibility & Accounts

You must be at least 13 years old (or older if the age of majority in your jurisdiction is higher).
You are responsible for safeguarding your account credentials.
You must provide accurate information and keep it up to date.

4 — Acceptable Use

You agree not to:

Violate any applicable law or regulation.
Submit or request content that is unlawful, harassing, defamatory, obscene, hateful, or that depicts minors in sexual activities.
Attempt to reverse-engineer, decompile, or otherwise interfere with any portion of the Service, the OpenAI API, or our underlying software.
Circumvent usage limits, security measures, or rate limits.
Use the Service to develop or deploy weapons, deep-fake pornography, or surveillance systems intended to violate privacy rights.
Infringe any intellectual-property or privacy rights of third parties, or harvest personal data without consent.
Send spam or unsolicited advertising via, or derived from, the Service.

We reserve the right to suspend or terminate accounts for violations.

5 — Subscriptions, Payments & Refunds

Plans & Billing. The Service is offered under monthly and annual subscription plans shown on the pricing page. Prices are denominated in U.S. dollars unless stated otherwise.
Payment Provider. Payments are processed by recognised third-party processors; we never store full payment-card numbers.
Renewals & Cancellation. Subscriptions renew automatically at the end of each billing cycle unless you cancel through the dashboard before the renewal date.
Refunds. If you are dissatisfied, you may request a refund within 14 days of the initial purchase or renewal. We reserve the right to refuse refunds for excessive or abusive requests.

6 — Intellectual Property

All software, branding, and documentation that we supply are our exclusive property or licensed to us. You receive a limited, non-exclusive, revocable licence to access the Service for your internal business purposes. Unless explicitly permitted, you must not copy, distribute, or create derivative works from our materials.

7 — User Content & Data

Ownership. You retain all rights to prompts, inputs, and outputs ("User Content").
License to Us. You grant us a worldwide, non-exclusive licence to store, process, and transmit User Content solely to provide the Service.
Data Retention. Prompt text and outputs may be temporarily cached for up to 30 days for debugging and abuse monitoring, after which they are deleted or anonymised.
Compliance with OpenAI Policy. You must use the Service in accordance with OpenAI's usage policies, available at https://openai.com/policies/usage-policies.

8 — Privacy

Our practices for collection and processing of personal information are described in our Privacy Policy, which forms part of these Terms.

9 — Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPENAI MODEL OUTPUTS MAY BE INACCURATE OR OFFENSIVE; YOU USE THEM AT YOUR OWN RISK.

10 — Limitation of Liability

To the maximum extent permitted by law, Aiverge, its owner, and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages. Our aggregate liability will not exceed the greater of (i) the amounts you paid to us in the 12 months preceding the claim or (ii) 100 USD.

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

11 — Indemnification

You agree to defend, indemnify, and hold harmless Aiverge and its affiliates, officers, agents, and employees from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your breach of these Terms; or (c) your violation of any law or third-party right.

12 — Termination

We may suspend or terminate your access immediately if you violate these Terms or if required by law. Upon termination you must cease all use of the Service. Sections that by their nature should survive (e.g., intellectual-property provisions, disclaimers, limitation of liability, indemnification) will survive termination.

13 — Modifications to Terms

We may update these Terms at our sole discretion. When we do, we will post the revised Terms and update the "Last updated" date. Changes take effect immediately upon posting. Continued use of the Service after changes constitutes acceptance.

14 — Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Georgia. Any dispute arising under them shall be submitted to the exclusive jurisdiction of the courts of Georgia, unless another forum is required by mandatory law.

15 — Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remainder will remain in full force and effect.

16 — Entire Agreement

These Terms, together with any supplemental policies posted on the Service, constitute the entire agreement between you and Aiverge regarding your use of the Service and supersede all prior agreements or understandings.
